In a commercial contract claim brought by Sam’s client for c.£25 million deferred consideration following the sale of a company, Sam, led by Edward Cumming KC of XXIV Old Buildings, successfully obtained summary judgment against the Defendant on its counterclaim, and on a central issue of construction of the sale contract. Giving judgment on 24 July, Mr Justice Sweeting dismissed the counterclaim, gave summary judgment on the contractual construction issue, and made consequential declarations. The judgment exemplifies the Courts’ current approach to summary judgment applications in cases turning on the construction of commercial contracts, and analyses the caselaw relating to the granting of declaratory relief sought by way of summary judgment.
